Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between you and TOM projet inc. ("Statute OS", "we", "us"), a company registered in the Province of Quebec, Canada, governing your use of the Statute OS platform. By creating an account or using the service you accept these Terms on behalf of yourself and, where applicable, the organization you represent.

2. The service

Statute OS is an AI governance platform. It scans the governance posture of your AI systems and data platforms, evaluates your answers to structured questionnaires, maps findings to regulatory frameworks (including the EU AI Act, GDPR, NIST AI RMF, and ISO 42001), and generates gap analyses, remediation guidance, compliance reports, and verification badges.

3. Not legal advice

Statute OS is a software tool, not a law firm. Nothing in the service — including gap analyses, compliance scores, reports, remediation scripts, or badges — constitutes legal advice, a legal opinion, or a certification that you comply with any law or regulation. Regulatory obligations under the EU AI Act, GDPR, and other frameworks remain entirely your responsibility. Outputs are generated in part by AI models and may contain errors or omissions; you must have qualified professionals review any compliance decision. Your regulator will not accept "the tool said so" — and neither will we.

4. Your data and the zero-copy commitment

You retain all rights, title, and interest in your data. Our platform scanners read only metadata and audit configuration from systems you connect — never the contents of your tables, training data, or your customers' personal data. Evidence documents you upload are processed solely to provide the service, are never used to train AI models, and can be deleted by you at any time. Our Privacy Policy describes our data practices in detail.

You grant us a limited license to process the data you submit only as needed to operate the service. We claim no other rights to it.

5. Accounts and acceptable use

You agree to:

  • Provide accurate account and organization information;
  • Keep your credentials confidential and notify us of any suspected breach;
  • Only connect platforms and upload documents you are authorized to use;
  • Not attempt to access other organizations' data, probe or disrupt the service, or resell it without our written agreement;
  • Not use the service to violate any law.

We may suspend accounts that violate these Terms, with notice where practicable.

6. Subscriptions and billing

Paid tiers are billed through Stripe. Fees are stated at purchase, exclusive of taxes, and non-refundable except where required by law. We may change pricing with at least 30 days' notice, effective at your next renewal. If payment fails we may downgrade your workspace to the free tier after notice; your data is retained per the Privacy Policy.

7. Compliance badges and reports

Badges and verification pages state that an assessment was performed with Statute OS and reflect the score at the time of issue — they are not a certification of legal compliance (see Section 3). Badges are cryptographically signed; you may display them only while the underlying assessment remains valid. We may revoke a badge if its assessment is materially misrepresented, and misuse of badges is grounds for termination.

8. Intellectual property

We own the platform, its software, and its content (excluding your data). You own the reports and outputs generated for your organization and may use them freely in your business, subject to Section 7.

9. Warranty disclaimer

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service is error-free, that scans detect every governance gap, or that outputs are complete or current with regulatory change.

10. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and (b) our total aggregate liability arising out of the service is limited to the amounts you paid us in the 12 months before the claim. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited by law. For clarity: we are not liable for regulatory fines, penalties, or enforcement actions imposed on you.

11. Termination

You may stop using the service and delete your workspace at any time. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the service ends, and data deletion follows the retention schedule in the Privacy Policy. Sections 3, 8, 9, 10, and 12 survive termination.

12. Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, and disputes are subject to the exclusive jurisdiction of the courts of the Province of Quebec, without regard to conflict of laws principles.

13. Changes

We may update these Terms. For material changes we will notify account holders by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
